Terms of Service

1. Acceptance of Terms

By creating an account or using MedShot (the "App"), operated by Thryvenex Holdings LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the App. You must be at least 17 years old to create an account and use the App.

2. Medical Disclaimer (Critical)

No Medical Advice: MedShot is a consumer organizational tool only. It does NOT provide medical advice, diagnosis, treatment recommendations, or clinical decision support. Nothing in the App should be interpreted as a substitute for professional medical judgment.
Not a Medical Device: The App is NOT a medical device, electronic health record (EHR), or clinical monitoring system. It has NOT been evaluated, cleared, or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body.
Drug Information Accuracy: Drug information displayed in the App is sourced from publicly available U.S. federal databases (DailyMed, openFDA, RxNorm, ClinicalTables) and may be supplemented by AI-generated summaries. This information may be incomplete, outdated, or contain errors. You are solely responsible for verifying all drug information with your prescriber, pharmacist, or official medication labeling.
Scanner Accuracy: The medication label scanner uses optical character recognition and AI, which are inherently imperfect. Scanned results may contain errors in drug name, strength, dosage, directions, or any other field. You MUST manually review and verify all scanned data before saving or relying on it.
Notification Reliance: Alerts, reminders, and refill notifications are provided as a CONVENIENCE ONLY. MedShot is NOT a clinical monitoring device. You expressly agree NOT to rely on the App as your sole or primary method for managing life-sustaining, time-critical, or narrow therapeutic index medications. We are NOT responsible for missed doses, incorrect doses, or any health consequences resulting from failed, delayed, or suppressed notifications — whether caused by device settings, Do Not Disturb mode, battery failure, software errors, network issues, or any other reason. You must maintain an independent backup system for medication management at all times.
Emergencies: Do NOT use this App for medical emergencies. If you believe you are experiencing a medical emergency, overdose, or serious adverse reaction, call 911 (or your local emergency number) immediately.

3. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
You agree to provide accurate information and to keep your medication data up to date.
You agree to notify us immediately of any unauthorized access to your account.
You are solely responsible for the accuracy of all data in the App, whether entered manually or via the scanner.

4. Acceptable Use

You agree NOT to:

Use the App for any unlawful purpose or in violation of any applicable law or regulation.
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the App.
Upload malicious code, interfere with App infrastructure, or attempt to gain unauthorized access to any system or data.
Use the App on behalf of another person without their explicit informed consent.
Scrape, harvest, or programmatically access the App or its underlying services outside of normal use.

5. Intellectual Property

The App, including its design, code, features, branding, and content (excluding user-entered data and publicly sourced drug information), is the property of Thryvenex Holdings LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

6. Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice.
We reserve the right to impose or modify usage limits on AI-powered features (Scanner, drug information lookups, AI summaries) at any time to ensure fair access and system stability.
We do not guarantee uninterrupted or error-free operation of the App.

7. Subscriptions & Payments

Payment: Payment is charged to your Apple ID account at confirmation of purchase.
Free Trial: If a free trial is offered, it applies only to the plan specified at the time of offer. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription.
Auto-Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current subscription price.
Management & Cancellation: You can manage and cancel subscriptions in your Apple ID Account Settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
Price Changes: Subscription prices may change. You will be notified in advance of any price increase, and continued subscription constitutes acceptance.

8. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. THRYVENEX HOLDINGS LLC DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRYVENEX HOLDINGS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: PERSONAL INJURY, HEALTH DETERIORATION, MISSED OR INCORRECT MEDICATION DOSES, ADVERSE DRUG REACTIONS, LOSS OF DATA, LOSS OF PROFITS, OR ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP — REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Thryvenex Holdings LLC, its officers, directors, members, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your reliance on information provided by the App for medical or health decisions; or (d) any third-party claim related to your use of the App.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users or the App.
You may terminate your account at any time by deleting it via Settings > Security > Delete Account.
Upon termination, your right to use the App ceases immediately. Sections regarding disclaimers, limitation of liability, indemnification, and governing law survive termination.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith informal negotiation by contacting us at the email below.
If informal resolution fails within thirty (30) days, either party may pursue binding arbitration administered under the rules of the American Arbitration Association (AAA). Arbitration shall take place in Delaware or remotely, as agreed by the parties.
You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

13. Apple App Store Terms

These Terms are between you and Thryvenex Holdings LLC only, and not with Apple Inc. ("Apple"). Thryvenex Holdings LLC, not Apple, is solely responsible for the App and its content.
Apple and its subsidiaries are third-party beneficiaries of these Terms of Service. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
Apple has no obligation to furnish any maintenance or support services with respect to the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, any claim that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.

14. Assignment

Thryvenex Holdings LLC may assign, transfer, or delegate these Terms and any rights and obligations hereunder, in whole or in part, to any third party — including in connection with a merger, acquisition, reorganization, or sale of assets — without your consent and without notice. You may not assign or transfer these Terms without our prior written consent.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Changes to These Terms

We may update these Terms from time to time. Changes will be reflected by updating the "Last Updated" date. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
